Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the website and services provided by WOLK INTERNATIONAL LIMITED ("WOLK", "we", "us", or "our"), a company registered in England and Wales (Company No. 13251117) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Services
WOLK provides creative strategy, media buying, and conversion rate optimisation (CRO) services. The specific scope, deliverables, timelines, and fees for each engagement are agreed upon individually and documented in a separate Statement of Work (SOW) or service agreement between WOLK and the client.
3. Engagement Terms
All service engagements are subject to a separate written agreement (SOW) which will include:
- Scope of services and deliverables
- Project timelines and milestones
- Fees, payment terms, and payment schedule
- Responsibilities of both parties
- Intellectual property ownership and usage rights
4. Fees and Payment
- All fees are quoted and payable in the currency specified in the SOW.
- Payment terms are as specified in the relevant SOW, typically Net 14 or Net 30 days from invoice date.
- We accept payment via bank transfer and card payment.
- Late payments may incur interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- All fees are exclusive of VAT unless otherwise stated.
5. Intellectual Property
Unless otherwise agreed in writing:
- All intellectual property created by WOLK in the course of providing services shall be assigned to the client upon full payment of all outstanding fees.
- WOLK retains the right to use anonymised case studies and portfolio examples for promotional purposes, unless the client objects in writing.
- Pre-existing intellectual property of either party remains the property of that party.
6. Client Obligations
The client agrees to:
- Provide timely access to necessary materials, accounts, and information
- Provide feedback and approvals within agreed timescales
- Ensure that all materials provided to WOLK do not infringe third-party intellectual property rights
- Pay all invoices in accordance with the agreed payment terms
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of the engagement for a period of two (2) years, unless the information becomes publicly available through no fault of the receiving party.
8. Limitation of Liability
- WOLK's total liability under any engagement shall not exceed the total fees paid by the client for the relevant services in the 12 months preceding the claim.
- WOLK shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Termination
Either party may terminate an engagement:
- With 30 days' written notice, subject to payment for all work completed to date.
- Immediately if the other party commits a material breach that is not remedied within 14 days of written notice.
- Immediately if the other party becomes insolvent or enters administration.

10. Website Use
When using our website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorised access to any part of the website
- Reproduce, duplicate, or copy any content without prior written consent
- Introduce viruses, malware, or other harmful material
11. Disclaimers
While we strive to deliver outstanding results, WOLK does not guarantee specific outcomes from our services, including but not limited to specific revenue targets, return on ad spend (ROAS), conversion rates, or traffic volumes. Marketing performance is influenced by many factors outside our control.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms.
